These Terms of Service ("Terms") govern your access to and use of the website located at brisatides.com (the "Site") and any purchases made through the Site, operated by Michi Ventures LLC. By accessing the Site or placing an order, you confirm that you are at least 21 years of age, a qualified researcher or licensed professional, and that you agree to be bound by these Terms and all applicable laws and regulations.

If you do not agree to these Terms, you must immediately discontinue use of the Site and refrain from placing any orders.

All products sold on this Site are sold exclusively for lawful scientific research, in vitro laboratory experimentation, and educational purposes by qualified researchers. You expressly agree that you will NOT:

• Use any product for human or animal consumption in any form
• Use any product for diagnostic, therapeutic, or clinical purposes
• Resell products to individuals who intend to use them for non-research purposes
• Use products in any manner that violates federal, state, or local law
• Represent to any third party that our products are approved for human use

Violation of this section may result in immediate termination of your account, cancellation of orders, and may expose you to civil and criminal liability.

You must be at least 21 years of age to purchase products from this Site. By placing an order, you represent and warrant that you meet this age requirement. We reserve the right to request proof of age and to cancel any order where age cannot be verified.

You further represent that you are a qualified researcher, laboratory professional, or licensed scientist with the facilities and knowledge required to handle research-grade compounds safely.

All prices are listed in U.S. dollars. We accept Cryptocurrency (BTC, ETH, USDC, USDT), NexaPay Card→Crypto (Visa, Mastercard), Cash App ($BrisaTides), PayPal/Venmo/Apple Pay/Google Pay, and Secure Bank Transfer (ACH/Wire). Crypto payments receive a 115% discount and NexaPay (Card→Crypto) payments receive a 10% discount, applied automatically at checkout.

We reserve the right to refuse or cancel any order for any reason, including product availability, pricing errors, suspected fraud, or failure to meet eligibility requirements. If your order is cancelled after payment, you will receive a full refund.

We ship to all 50 United States only. We do not ship internationally. Orders placed before 11AM PST on business days are delivered same day. Free standard shipping is provided on all orders over $250. All shipments include our Shipment Protection guarantee against damage or loss.

Due to the nature of research compounds and chain-of-custody requirements, all sales are final. Exceptions are made only for products received in a damaged or compromised condition, or incorrect products shipped due to our error. Contact support@brisatides.com within 48 hours of delivery with your order ID and photographic documentation. Approved claims will receive a replacement shipment at no additional cost.

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MICHI VENTURES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim shall not exceed the total amount paid by you for the specific product(s) giving rise to the claim.

You agree to indemnify, defend, and hold harmless Michi Ventures LLC and its officers, directors, employees, agents, and successors from any claims, liabilities, damages, losses, costs, or expenses arising out of or related to your use or misuse of any product, your violation of these Terms, or your violation of any applicable law.

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of law principles. Any dispute arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New Mexico, and you hereby consent to such jurisdiction.

CALIFORNIA RESIDENTS: If you are a California resident, you acknowledge that certain California consumer protection laws may apply to you regardless of the choice of law provisions above. Nothing in these Terms waives any non-waivable rights granted to California residents under California law, including rights under California Civil Code § 1670.5.

Before filing any formal legal action, you agree to contact us at support@brisatides.com and make a good-faith effort to resolve the dispute informally within 30 days.

These Terms of Service, together with our Privacy Policy, Disclaimer, and Research Use Only Policy, constitute the entire and exclusive agreement between you and Michi Ventures LLC regarding your use of the Site and purchase of products. This agreement supersedes all prior negotiations, understandings, and agreements, whether written or oral.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. All remaining provisions shall continue in full force and effect.

Michi Ventures LLC shall not be held liable for any failure or delay in performing its obligations under these Terms when such failure or delay results from circumstances beyond reasonable control, including but not limited to: acts of God, natural disasters, supply chain disruptions, ingredient unavailability, laboratory closures, regulatory changes, government action, pandemics, or other unforeseeable events.

In the event of a force majeure occurrence affecting our ability to fulfill orders, we will provide written notice and may offer delayed fulfillment, full refund, or order cancellation at our sole discretion. We are not liable for any damages, losses, or costs arising from such delays or cancellations.

By purchasing any product from Michi Ventures LLC, you acknowledge and accept that you are assuming all risk associated with the product, including but not limited to risks of injury, loss, or damage arising from improper handling, storage, use, or misuse. You waive any right to claim damages against Michi Ventures LLC, its owners, officers, employees, or agents for any such risk or occurrence.

You further waive any claim that you were not adequately warned about risks associated with research compounds, and you acknowledge that you have the expertise and resources to independently assess and manage any risks.

We reserve the right to modify these Terms at any time. Changes become effective upon posting to the Site. Your continued use of the Site following any modification constitutes acceptance of the revised Terms.
